If purchasing on behalf of an organization, you represent and warrant that you have the right to bind your organization to these terms and conditions and the applicable License Agreements. We may amend, modify or update the License Agreements at any time in our sole discretion, and the amended or updated License Agreements will be effective from the date of posting, and will apply to purchases made via the Web Store following such effective date.

Prices and Payment Terms

The price charged for a software product or service will be the price displayed on the Web Store at the time the order is placed. All prices, discounts, and promotions posted on the Web Store are subject to change without notice. Except for any errors or inaccuracies as described below, price increases will only apply to orders placed after the time of the increase.

All applicable taxes and charges will be added to your total price and will be itemized in your shopping cart and in your order confirmation email. If the event your organization is tax- exempt, you will be asked to upload documentation of your tax-exempt status, and taxes will not be charged once your documentation is verified.

While we strive to display accurate price information, we may, on occasion, make inadvertent typographical errors, inaccuracies or omissions related to pricing and availability. We reserve the right to correct any errors, inaccuracies, or omissions at any time and to cancel any orders arising from such occurrences.

The Web Store may permit you to proceed with payment using a credit card, ACH billing, or, in some cases, by submitting a purchase order. For payments made by credit card or ACH billing, and notwithstanding anything to the contrary in any applicable License Agreement, payment must be received by us before our acceptance of an order. You represent and warrant that (i) the credit card and/or ACH information you supply to us is true, correct and complete, (ii) you are duly authorized to provide to us such information to facilitate your purchase, and (iii) you will pay charges incurred by you at the posted prices, including all applicable taxes. Payments made pursuant to purchases made by purchase order must be paid no later than thirty (30) days following the date of invoice. We may charge a late payment penalty of 1.5% per month on undisputed amounts, or the maximum rate permitted by law, whichever is less. Without waiving any of our other rights or remedies, we may refuse additional orders and suspend any services until all overdue amounts are paid in full.

No Cancellation; No Refunds

Except as otherwise set forth in the applicable License Agreement for the software products or services purchased, purchases made hereunder are non-cancellable and non-refundable, and the quantity and/or term purchased may not be decreased following our acceptance of your purchase.

Electronic Delivery

Following our acceptance of your order, we will provide to you licenses for any purchased software by electronic delivery. Software is accepted as delivered.

No Warranties

While Revvity Signals will use commercially reasonable efforts to ensure the Web Store is accessible and available to you, it does not warrant or guarantee the availability of the Web Store. We will not be liable if for any reason all or any part of the Web Store is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the Website or the entire Website. NEITHER REVVITY SIGNALS NOR ANY PERSON ASSOCIATED WITH REVVITY SIGNALS MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE WEB STORE. WITHOUT LIMITING THE FOREGOING, NEITHER REVVITY SIGNALS NOR ANYONE ASSOCIATED WITH REVVITY SIGNALS REPRESENTS OR WARRANTS THAT THE WEB STORE OR ITS CONTENT WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED OR THAT THE WEB STORE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEB STORE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

Limitation of Liability

IN NO EVENT SHALL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOSS OF USE, REVENUE OR PROFIT, OR FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES RELATING TO YOUR USE OF THE WEB STORE TO PURCHASE OUR SOFTWARE PRODUCTS AND SERVICES, WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE. OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

Goods Not for Resale or Export

You represent and warrant that you are buying software products and/or services from the Web Store for your (or your organization’s) own use only, and not for resale or export. You further represent and warrant that your purchase does not violate any appliable export control laws or regulations, and the software products or services purchased hereunder shall not be used in an embargoed country.

Intellectual Property Use and Ownership

You acknowledge and agree that:

(a) All uses on the Web Store or in these Web Store Terms of the terms "sell," "sale," "purchase," "price," and the like, as it relates to our products, mean the purchase or sale of a software license. Each software product or service marketed on the Web Store is made available solely for license, not sale, to you and other prospective customers under the terms, conditions and restrictions of the License Agreement for that specific software product or service.

(b) You will comply with all terms and conditions of the applicable License Agreement for any software product or service you obtain through the Web Store, including, but not limited to, all confidentiality obligations and restrictions on resale, use, reverse engineering, copying, making, modifying, improving, sublicensing, and transfer of those licensed products and services.

(c) You will not cause, induce or permit others' noncompliance with the terms and conditions of any License Agreements.

(d) Revvity Signals and/or its licensor(s) are and will remain the sole and exclusive owners of all intellectual property rights in and to each software product and service made available on the Web Store and any related documentation or other materials, including, but not limited to, all related copyrights, patents, and trademarks and other intellectual property rights, subject only to the limited license granted under the applicable License Agreement. You do not and will not have or acquire any ownership of these intellectual property rights in or to the software products or services made available through the Web Store.
